Client Agreement
This Client Agreement ("Agreement") is a contract between you and SPACEDEX ("we", "us", "our") that governs your access to and use of the SPACEDEX platform, including our website, account dashboard, swap and trading tools, and any related services (together, the "Services"). By creating an account or using the Services, you agree to be bound by this Agreement.
Acceptance of terms
By registering for an account, clicking to accept, or simply using the Services, you confirm that you have read, understood, and agree to this Agreement. If you do not agree, you must not access or use the Services. We may update this Agreement from time to time as described below, and continued use of the Services after an update constitutes acceptance of the revised terms.
Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. You represent that you are not located in, or a resident of, any jurisdiction where use of a digital asset exchange is prohibited by law, and that your use of the Services complies with all laws applicable to you. We may ask you to verify your identity before allowing certain account activity, such as deposits, withdrawals, or higher trading limits.
Your account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. You agree to provide accurate, current, and complete information when registering and to keep that information up to date. We may suspend or decline transactions where we cannot verify your identity or where information you provide appears inaccurate or incomplete.
Identity verification and compliance
We operate a risk-based compliance program and are required to know who our users are. Before you can deposit, withdraw, or reach higher activity limits, we may ask you to complete identity verification and provide documents such as a government-issued ID and proof of address. You agree that the information and documents you provide are genuine, accurate, and belong to you. We may screen accounts against sanctions and watchlists, refuse or reverse transactions, request additional information, or report activity to authorities where required by law. We may decline to open an account, or restrict an existing one, where verification cannot be completed to our reasonable satisfaction.
Deposits and withdrawals
Deposits and withdrawals are processed on public blockchain networks through our infrastructure and payment partners. You are responsible for sending funds to the correct address on the correct network and for meeting the minimum amounts shown on our Fees page. On-chain transactions are irreversible. Sending an unsupported asset, using the wrong network, providing an incorrect address, or omitting a required memo or tag may result in the permanent loss of your funds, which we cannot recover. Deposits below the stated minimum may not be credited. Withdrawals are subject to identity verification, applicable fees, and security checks, and may be delayed or held where we detect suspicious activity.
Orders, execution, and pricing
When you place a spot order or a swap, you authorize us to execute it on your behalf according to the parameters you set. Prices and available liquidity change constantly, and the price shown before you confirm may differ from the price at which your order is ultimately filled. Orders may be filled in full, in part, or not at all depending on market conditions. Once an order is executed it cannot be reversed. You are responsible for reviewing the details of every transaction before you confirm it.
Prohibited use
You agree not to use the Services for any unlawful purpose, including money laundering, terrorist financing, fraud, or evasion of sanctions; to interfere with or disrupt the integrity or performance of the Services; to attempt unauthorized access to any account, system, or network; or to use the Services in any way that violates the rights of a third party. We reserve the right to investigate and take appropriate action, including account suspension and reporting to relevant authorities, where we reasonably suspect prohibited activity.
Risks
Digital assets are volatile and their value can rise or fall significantly and rapidly. Trading and swapping digital assets carries financial risk, including the possible loss of some or all of the funds involved. You acknowledge that you understand these risks and that you are solely responsible for evaluating whether any transaction is appropriate for you. See our Risk Disclosure for further detail.
Fees
Use of certain Services may be subject to fees, which are disclosed to you before you confirm a transaction and are also published on our Fees page. We may change our fees from time to time; any change will apply to transactions made after the change takes effect.
Suspension and termination
We may suspend, restrict, or terminate your access to the Services, in whole or in part, at any time if we reasonably believe you have breached this Agreement, engaged in prohibited use, or where required to comply with applicable law. You may close your account at any time by contacting support, subject to the completion of any pending transactions.
Liability
To the fullest extent permitted by law, SPACEDEX and its affiliates are not liable for indirect, incidental, special, or consequential damages arising from your use of the Services, including losses resulting from market volatility, third-party actions, or events outside our reasonable control. The Services are provided on an "as is" and "as available" basis without warranties of any kind, except as expressly stated in this Agreement.
Intellectual property
The Services, including our software, design, logos, text, and other content, belong to SPACEDEX or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-transferable, revocable right to use the Services for their intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Services except where permitted by law.
Communications and notices
You agree to receive communications from us electronically, including through the account dashboard, email, and notices posted on our website. Electronic communications satisfy any legal requirement that a communication be in writing. It is your responsibility to keep your contact details current and to check for notices that affect your account.
Indemnification
You agree to indemnify and hold harmless SPACEDEX and its affiliates, officers, and employees from any claims, losses, liabilities, and reasonable expenses arising out of your use of the Services, your breach of this Agreement, or your violation of any law or the rights of a third party, to the extent permitted by applicable law.
Governing law and disputes
This Agreement and any dispute arising from it are governed by the laws applicable to the operation of the Services, without regard to conflict-of-law rules. You agree to first attempt to resolve any dispute with us informally by contacting support. Where a dispute cannot be resolved informally, it will be handled through the process set out in our published terms and any applicable law.
Force majeure
We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including network or blockchain outages, cyber attacks, failures of third-party providers, changes in law, or acts of government.
General
If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign your rights under this Agreement without our consent; we may assign ours to an affiliate or successor. This Agreement, together with our Privacy Policy, Risk Disclosure, Disclaimer, and Fees, is the entire agreement between you and us regarding the Services.
Changes
We may amend this Agreement from time to time to reflect changes in our Services, legal requirements, or business practices. Where changes are material, we will make reasonable efforts to notify you, for example by posting a notice on our website or emailing the address on file. Your continued use of the Services after any change takes effect constitutes your acceptance of the revised Agreement.
